FPT Software’s basic policy on procurement

Commitments
FPT Software (FSOFT) ensures:
  1. To comply with competition laws and regulations in all countries where businesses are located, and maintain fair and free competition.
  2. To conduct procurement activities according to the following policies, based on “Code of Business Conduct.”
  3. To ask our business partners to actively work on this and further promote CSR activities.
    Corporate social responsibility (CSR) is a self-regulating business model that helps a company be socially accountable to itself, its stakeholders, and the public. By practicing corporate social responsibility, also called corporate citizenship, companies can be conscious of the kind of impact they are having on all aspects of society, including economic, social, and environmental.

FSOFT shall:
  1. Fair and transparent trading
    • FSOFT maintains an equal and healthy relationship with its suppliers. FSOFT does not have inappropriate relationships with its suppliers, where FSOFT receives honoraria, entertainment or gifts, benefits or requests benefits beyond the scope of common sense, from its suppliers.
    • FSOFT will provide appropriate guidance and education to prevent its officers and employees from conducting unfair transactions and having inappropriate relationships with suppliers.
    • FSOFT will not commit bribery and corruption acts and thoroughly prevent them.
    • FSOFT will not give or receive gifts or business entertainments, profits that exceed the socially acceptable range which are the hotbed for bribery and corruption.
    • FSOFT shall comply with competition laws and regulations in all countries where we do business, and aim for fair and free competition.

  2. Fair and impartial evaluation and selection of suppliers
    • The selection of suppliers is comprehensive and is conducted by fair evaluation from the viewpoints of corporate reliability, technical capabilities,
      quality/price, delivery date, service, risk assessment and Corporate Social Responsibility (hereinafter referred to as “CSR”).

  3. Promotion of CSR-friendly procurement activities
    CSR-friendly procurement activities, such as corporate ethics compliance, respect for human rights, safety and health, and global environmental conservation, shall be promoted by FSOFT and its suppliers.

  4. Compliance with laws and regulations, and corporate governance
    • Build policies and procedures to manage compliance and to ensure that the regulations of FSOFT , the agreement with Third Party comply with laws.
      Policies and Procedures should (1) include goals and procedures for meeting those goals, (2) include all the information needed for personnel to perform a business transaction/voperation, (3) be reviewed and updated as the institution’s business and regulatory changes.
    • FSOFT shall comply with Vietnamese domestic and foreign laws and regulations regarding our business activities, follow the rules of society, and act inb good faith.
    • FSOFT shall develop and implement policies, systems, and mechanisms for through compliance.
    • FSOFT will block all relationships, including transactions, with Vietnamese domestic and foreign antisocial forces and groups that threaten the social order and the sound operations of companies.
    • FSOFT will not make any back-door transactions or provide funds to Vietnamese domestic and foreign antisocial forces and groups.

  5. Respect for human rights
    • FSOFT shall eliminate discrimination by race, nationality, age, gender, religion, beliefs, disabilities, etc.
    • FSOFT shall respect countries and regions’ cultures, customs, history, values, individuality and diversity
    • FSOFT shall develop and implement policies, systems, and mechanisms for through compliance.
    • FSOFT shall endeavor to establish a mechanism to prevent human rights violations, including harassment. If it does occur, we will promptly correct and remedy it through appropriate procedures inside and outside the company

  6. Labor
    • FSOFT declares that we will provide a hygienic and safe workplace, and ensure the safety and security of our employees.
    • FSOFT will prohibit forced labor and child labor, and manage appropriate working hours in accordance with laws and regulations.
    • FSOFT will pay wages in accordance with laws and regulations regarding minimum wages, overtime, wage deductions, piece wages, and other benefits.
    • FSOFT will create a healthy and rewarding work environment where each and every employee can demonstrate their abilities.

  7. Environmental protection
    • In FSOFT’s daily business activities, we will actively promote transactions that consider environmental issues and strive for harmony between the global
      environment and the economy.
    • FSOFT will strive to improve the environmental awareness of each and every employee by saving energy and resources, as well as reducing waste in our
      business sites’ activities.

  8. Quality and safety
    • FSOFT will comply with the laws and regulations of each country and region, strive to maintain and improve product quality, and give due consideration
      to safety.
    • FSOFT will build and operate a quality management system and make continuous improvements.

  9. Information security
    • FSOFT will handle information related to customer information, personal information, and business activities appropriately in accordance with
      Vietnamese domestic and foreign laws and regulations, and protect them with the utmost care.

  10. Supply Chain
    • FSOFT will handle information related to customer information, personal information, and business activities appropriately in accordance with
      Vietnamese domestic and foreign laws and regulations, and protect them with the utmost care.
    • FSOFT will inform our suppliers and vendors of the matters described in each article of this CSR Procurement Guideline, and disseminate the
      compliance of those matters.

  11. Coexistence with local community
    • FSOFT will actively engage in the development of the community and society, and carry out business activities and social contribution activities aiming
      for a prosperous and sustainable society.

  12. Appropriate information management
    FSOFT understands the importance of confidential information and personal information acquired through procurement activities, and shall use and
    manage them appropriately according to the type of the information.

  13. Coexistence and co-prosperity
    FSOFT and its suppliers will build a relationship of trust through mutual improvement and aim for a coexistence and co-prosperity relationship in which
    parties can continue to cooperate with each other as good partners.
